Terms of Use

1. Who we are

These Terms of Use govern access to and use of the Legalbot platform, made available by LEGALL SERVIÇOS ONLINE LTDA, a limited liability company registered under CNPJ nº 26.124.835/0001-47, operating under the trade name "Legalbot", headquartered at Rua da Consolação, 2302, Floor 8, Suite 81, Consolação, São Paulo/SP, CEP 01302-001 ("Legalbot", "we").

2. Acceptance

By accessing or using the platform, the user and the legal entity they represent declare that they have read and agreed to these Terms and to the Privacy Policy. If you do not agree, you must not use the platform.

3. Subject matter and corporate nature (B2B)

Legalbot is a regulatory technology (RegTech) platform, offered as a software-as-a-service (SaaS), intended exclusively for legal entities and their authorized representatives. The platform provides tools for regulatory monitoring, organization of normative information, and compliance management support.

4. License to use

During the term of the agreement, Legalbot grants the client a limited, non-exclusive, non-transferable and revocable license to use the platform in accordance with these Terms. Access is for corporate use only and may not be shared, assigned, or made available to unauthorized third parties.

5. Registration and user responsibility

The client is responsible for the accuracy of the information provided and for the safekeeping and confidentiality of access credentials. Activities carried out using the client's credentials are the client's responsibility. In the event of suspected misuse, the client must notify Legalbot.

6. Acceptable use

The user agrees to use the platform lawfully and in compliance with applicable legislation, refraining from conduct that compromises the security, integrity or availability of the systems, or that violates the rights of third parties.

7. Informational nature — not legal advice

The platform provides information and tools to support regulatory management and does not offer legal consulting, legal opinions, or legal representation; its use does not create an attorney-client relationship. The information is informational in nature and does not replace analysis by a qualified professional. Decisions regarding regulatory interpretation, compliance, and fulfilment of obligations are the client's responsibility.

8. Artificial intelligence features

Some features use artificial intelligence to organize, classify, and summarize information. Results are of a supportive nature, may contain inaccuracies, and must be reviewed by the client before any decision is made. Legalbot does not guarantee the accuracy or completeness of such results.

9. Availability and best efforts

Legalbot uses its best efforts to keep the platform available, updated, and accurate, but does not guarantee uninterrupted or error-free operation, nor that information coverage is exhaustive. The platform is provided as-is. Interruptions may occur for maintenance, updates, or reasons beyond Legalbot's control.

10. External sources and regulatory content

The platform makes available regulatory, legal, normative, and legislative information obtained from public, official, or authorized sources, acting exclusively as a tool for organizing, indexing, monitoring, searching, and structurally providing such information. Legalbot does not create, alter, validate, certify, or publish official normative acts and is not responsible for errors, omissions, delays, or changes arising from original sources or their issuing bodies, nor for the temporary unavailability of external sources. The responsibility for final analysis, interpretation, and decision-making remains entirely with the client and their organization.

11. Plans, contracting, and payment

The commercial terms — features, pricing, billing cycle, terms, guarantees, and renewal — are those defined in the applicable plan and contract, which prevail over these Terms on those matters.

12. Intellectual property

All intellectual property rights relating to the platform and its contents belong to Legalbot or its licensors. Use of the platform does not transfer any such rights to the client.

13. Data and privacy

The processing of personal data is governed by Legalbot's Privacy Policy, which forms part of these Terms. With respect to data entered by the client into the platform, the client acts as controller and Legalbot as processor, in accordance with applicable data protection legislation.

14. Security

Legalbot adopts technical and organizational measures adequate and consistent with market best practices for the protection of information.

15. Limitation of liability

To the fullest extent permitted by applicable law, Legalbot is not liable for indirect damages, lost profits, or decisions made by the client based on information from the platform. Where applicable, Legalbot's liability is limited to the amounts effectively paid by the client for the services.

16. Indemnification

The client agrees to indemnify and hold Legalbot harmless from losses, damages, fines, or expenses arising from misuse of the platform, violation of these Terms or applicable legislation, or the provision of incorrect information by the client or its users.

17. Confidentiality

The parties shall keep confidential the information they access in connection with the relationship, using it solely for the purposes of the engagement.

18. Force majeure

Neither party shall be held liable for failure to perform or delay in performing obligations resulting from unforeseen events or force majeure, for as long as such effects persist, including, without limitation, power or telecommunications failures, unavailability of third-party services, acts of authority, and other events beyond their reasonable control.

19. Term and amendments

These Terms remain in force for an indefinite period, for as long as the platform is available. Legalbot may update them at any time by publishing the revised version through its official channels. Continued use after publication constitutes agreement with the current version. The history of previous versions may be requested through the contact channels.

21. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Comarca de São Paulo/SP are elected as the exclusive jurisdiction to resolve any disputes arising from them, with waiver of any other.

22. General provisions

The invalidity of any provision shall not affect the remaining provisions. Tolerance of a breach of any clause shall not constitute a waiver. Acceptance of these Terms is recorded electronically at the time of registration or first access.
